Payment Processing Service Terms
Supplemental terms governing payment processing through the Front Desk platform.

These Payment Processing Service Terms ("Payment Terms") supplement the Front Desk Terms of Service ("Terms of Service") and collectively govern your use of any payment processing features made available through the Front Desk platform (the "Payments Service"). These Payment Terms and the Terms of Service are collectively referred to as the "Terms." Capitalized terms used but not defined here have the meanings set forth in the Terms of Service. To access and use the Payments Service, you and your end users must at all times agree to and abide by these Terms.
1. The Payments Service
The Payments Service enables you to request and accept payments from your customers and patients — for example, payment links sent by text message, card-not-present payments, and deposits or prepayments collected in connection with appointment booking. Availability of specific payment features may depend on your subscription plan and your approval by our payment processing partner.
2. Relationship Between Front Desk and Stripe
Front Desk is not a bank and does not offer banking services. The Payments Service is provided through our third-party payment processor, Stripe, Inc. ("Stripe"). Front Desk and Stripe are separate, independent entities; neither is an agent, representative, partner, joint venturer, or employee of the other, and nothing in these Terms shall be construed otherwise.
2.1 Stripe Account and Stripe Agreements
To use the Payments Service, you must register for and maintain an account with Stripe (a "Stripe Account"). By using the Payments Service, you agree to abide by and comply with the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (collectively, the "Stripe Agreements"), as they may be modified by Stripe from time to time. A breach of the Stripe Agreements by you or your end users is a breach of these Terms and may result in immediate suspension or termination of the Payments Service.
2.2 Information Sharing
You acknowledge and agree that Front Desk may share information about you, your end users, your customers, and your account with Stripe as necessary to provide, administer, and manage the Payments Service, and as described in our Privacy Policy.
3. Definitions
- "Card" means any valid credit or debit card bearing the name and logo of Visa®, Mastercard®, American Express®, Discover®, or another card association or network.
- "Card Association Rules" means the rules, regulations, standards, policies, and procedures promulgated by the card associations, including the Payment Card Industry Data Security Standard ("PCI DSS").
- "Cardholder" means the individual whose name appears on a valid Card, and any authorized user of that Card.
- "Cardholder Data" means non-public, personally identifying information submitted by a Cardholder, including Card number, expiration date, name, address, phone number, and email address.
- "Chargeback" means the procedure by which funds from a settled Transaction are returned to the issuing bank, including as a result of a dispute initiated by the Cardholder.
- "Dispute" means an instruction initiated by a Cardholder to reverse or invalidate a processed Transaction.
- "Prohibited Activity" means any activity identified by Stripe as a restricted business or activity (see Stripe's restricted businesses list), including use of the Payments Service for the benefit of any country, organization, entity, or person embargoed or blocked by any government, including those on sanctions lists identified by the U.S. Office of Foreign Assets Control (OFAC).
- "Transaction" means any payment authorization, credit, debit, capture, settlement request, or decline submitted through the Payments Service.
4. Your Obligations
4.1 Compliance
You will comply, at your own expense, with all Card Association Rules and all laws, regulations, and orders applicable to you, your business, and your Transactions, including PCI DSS and applicable privacy laws. You will not use the Payments Service to sell or offer to sell any product or service that constitutes a Prohibited Activity, or in any manner that may subject Front Desk to investigation, prosecution, or legal action.
4.2 Data Security
You are solely responsible for the security of all data, including Cardholder Data, residing on servers owned or operated by you or by a third party you designate. You agree to provide notice to your customers describing how and why their personal and financial information is collected and used. If your systems are breached and an unauthorized third party has accessed Cardholder Data or Transaction data, you must promptly notify Front Desk and Stripe and take the precautions necessary to prevent future breaches.
4.3 Transaction Authorization and Accuracy
You may only submit Transactions that the Cardholder has authorized. You must not proceed with a Transaction if you know or should know that it is fraudulent, unauthorized, or illegal in your or your Cardholder's jurisdiction; if authorization is declined; or if the payment method has expired or is invalid. You must not resubmit any Transaction that is subject to a pending Dispute or that was previously disputed and resolved in your favor.
4.4 Records and Data Retention
You are solely responsible for compiling and retaining permanent records of all Transactions and related data for your own reference and compliance obligations. Except as expressly provided in these Terms, Front Desk has no obligation to store, retain, or provide copies of or access to Transaction records or Cardholder Data.
4.5 Disputes and Chargebacks
You are solely responsible for responding to Dispute investigations, and you agree to accept and comply with Dispute investigation requests from Front Desk or Stripe. You may be subject to additional fees for lost Disputes or failure to respond to a Dispute investigation. Front Desk or Stripe may restrict your ability to withdraw funds or process Transactions while an investigation or Dispute is pending.
5. Front Desk's Role and Data
Front Desk will collect, retain, and disclose information and data related to your use of the Payments Service in accordance with our Privacy Policy and our agreements with Stripe. Front Desk, Stripe, and their respective affiliates may transfer data among themselves as necessary to provide and manage the Payments Service, and may share data with third parties assisting in the evaluation, provision, administration, and management of the Payments Service, or as otherwise permitted by law. While Front Desk uses commercially reasonable efforts to safeguard data, Front Desk does not warrant that Cardholder Data and Transaction data will be transmitted without unauthorized interception or modification.
6. Fees
You agree to pay the payment processing fees stated in your Order or in Front Desk's then-current published pricing ("Payment Fees"). Payment Fees are charged at the time a Transaction is processed and may be deducted from the transferred or collected funds or from the balance of your Stripe Account. In addition to Payment Fees due to Front Desk, Stripe may charge and collect fees from you in accordance with the Stripe Agreements. Front Desk reserves the right to change Payment Fees upon commercially reasonable advance notice. You agree that Front Desk may deduct, recoup, or set off amounts you owe under these Terms from your Stripe Account balance or invoice you for those amounts.
7. Suspension and Termination
Without limiting the Terms of Service, Front Desk may suspend or terminate your use of the Payments Service if: (a) Front Desk has reason to believe you have violated any applicable law, regulation, or Card Association Rule; (b) you use the Payments Service in connection with a Prohibited Activity; or (c) Front Desk reasonably believes your conduct is disruptive or harmful to Front Desk, Stripe, or any third party. If Stripe terminates or suspends its relationship with you, Front Desk may suspend or terminate your access to the Payments Service without notice and without liability. Suspension may restrict your ability to withdraw funds or process Transactions. Upon termination of the Payments Service for any reason, you must immediately pay all outstanding amounts due.
8. Disclaimer
Without limiting any provision of the Terms, you understand and agree that Front Desk bears no risk with respect to your sale of products or services, including any risk associated with card fraud or chargebacks. Front Desk shall not be liable for any loss arising from or related to: (a) your failure to properly activate, integrate, or secure your payment account; (b) fraudulent transactions processed through your account; (c) chargebacks arising from transactions processed through your account; (d) unauthorized access to a server, website, facility, or data (including card numbers and other personally identifiable information) due to accident or illegal or fraudulent means of any third party, or other causes beyond Front Desk's reasonable control; or (e) actions or inactions of any third party, including any payment processor or bank.
9. Indemnification
Without limiting any provision of the Terms, you agree to defend, indemnify, and hold harmless Front Desk and its affiliates, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) the reliability, accuracy, or legitimacy of payment data you submit; (b) Transactions you submit that are rejected by Stripe or an issuing bank; (c) claims by Cardholders, including claims relating to the disclosure of Cardholder Data; and (d) your violation of any applicable law, regulation, or Card Association Rule, including PCI DSS. If your violation of Card Association Rules or PCI DSS causes fines or penalties to be charged to Front Desk, you agree to immediately reimburse Front Desk for those fines or penalties.
10. Ratification
By accessing or otherwise using the Payments Service, you expressly acknowledge and agree to these Payment Terms in addition to the Front Desk Terms of Service.
